1. Acceptance of terms
These Terms of Service ("Terms") govern your access to and use of the website at vendingroutehub.shop and the vending route services provided by Vending Route Hub ("we," "us," "our"). By accessing our website, submitting a service request, or entering into a service agreement with us, you agree to these Terms.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
2. Our services
Vending Route Hub provides scheduled vending machine route services including restocking, preventative maintenance, emergency repair dispatch, cash reconciliation, and related administrative support. Services are provided under one of three plans:
- Starter Route: Two visits per month, business-hours support
- Managed Route: Weekly visits, 24/7 priority dispatch, full reporting
- Fleet Operations: Custom cadence, dedicated account management, API access
Service offerings are subject to availability in your service area and may be modified, suspended, or discontinued at our discretion with reasonable notice to affected clients.
3. Accounts & eligibility
To receive service, you must:
- Be at least 18 years of age and legally capable of entering into a binding contract
- Provide accurate, current, and complete information during onboarding
- Maintain the security of any account credentials we provide
- Notify us immediately of any unauthorized use of your account or any breach of security
- Own the machines being serviced, or have written authorization from the machine owner to receive service
4. Pricing & payment
Rates
Published rates are per machine, per month. Current Starter Route and Managed Route rates are listed on our pricing page. Fleet Operations is priced by written quote. Rates are subject to change with 60 days' written notice.
Volume discounts
Volume tiers are applied automatically based on total machine count under a single account. Multi-site consolidation discounts apply to clients operating three or more locations under the same ownership.
Additional charges
- After-hours emergency dispatch: $85 per visit for callouts outside 7 AM–7 PM, Monday–Saturday, or on federal holidays (Managed and Fleet accounts receive priority response at no additional charge for standard repairs)
- Major component replacement: billed at our cost plus a flat $40 labor fee, only with your prior written approval
- Additional scheduled visits: $85 per visit (Starter Route accounts only)
- Specialty add-ons: quoted per machine based on scope
Billing & payment terms
- Invoices are issued on the first business day of each month
- Net-30 payment terms are standard; Fleet Operations accounts may request net-45
- We accept ACH, credit card, check, and purchase orders
- Late payments over 30 days may accrue interest at 1.5% per month or the maximum allowed by law, whichever is lower
- Accounts 60 days past due may have service suspended until the balance is resolved
Annual billing
Annual billing is offered at a discount equivalent to two months free (ten months billed for twelve months of service). Annual prepayment is non-refundable except in cases where we terminate the agreement without cause.
5. Scheduling & access
You agree to provide safe, timely access to your facility and machines during scheduled service windows. If access is unavailable or unsafe, we may reschedule or invoice for the visit as completed.
You agree to:
- Provide accurate access instructions and credentials before the first service visit
- Notify us of any changes to access procedures, security requirements, or facility contacts
- Ensure the area around each machine is clear and safe for our technicians
- Disclose any known hazards — electrical, structural, chemical, or otherwise
- Ensure machines are properly powered and connected to a working electrical circuit
6. Warranty & repairs
Every repair we perform carries a 90-day parts and labor warranty. Warranty callbacks are scheduled as priority dispatches within 48 hours at no charge for parts or labor on the affected component. Full warranty terms, exclusions, and the claim process are described on our warranty page.
Refurbished machines we sell or install carry an extended 12-month parts and labor warranty (24 months on compressors), which is fully transferable within the coverage period.
7. Cancellation & termination
Client cancellation
Starter Route and Managed Route agreements include a 90-day initial onboarding period. After that window, either party may terminate the agreement with 30 days' written notice. No cancellation fees apply. Prepaid amounts for unused service periods will be refunded on a pro-rata basis.
Fleet Operations agreements have custom termination terms as specified in the individual service agreement.
Our termination rights
We may terminate or suspend service immediately, without prior notice, if:
- You fail to pay undisputed invoices within 60 days of the due date
- You engage in fraudulent, abusive, or illegal activity related to the services
- You fail to provide safe access to your facility or machines
- You breach these Terms or your service agreement and fail to remedy the breach within 10 business days of written notice
Effect of termination
Upon termination, we will complete the export of your route data, return any keys, access cards, or equipment belonging to you, and issue a final invoice for services performed through the termination date.
8. Intellectual property
All content on our website — text, graphics, logos, images, reports, and other materials — is owned by Vending Route Hub or its licensors and is protected by copyright and trademark laws. You may not copy, reproduce, distribute, or create derivative works without our prior written consent, except for personal, non-commercial use or as explicitly permitted elsewhere.
Route data, service tickets, and machine performance reports we generate for your account belong to you. You may use them for any internal business purpose and may share them with your own advisors. We retain the right to use aggregated, de-identified data for benchmarking and service improvement purposes.
9. Limitation of liability
To the maximum extent permitted by law, Vending Route Hub and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services, including but not limited to lost profits, lost revenue, lost data, or business interruption, even if we have been advised of the possibility of such damages.
Our total aggregate liability to you for all claims arising from or related to these Terms or our services shall not exceed the greater of (a) the total amount you paid us in the twelve months preceding the event giving rise to the claim, or (b) one thousand US dollars ($1,000).
The limitations in this section do not apply to claims arising from our fraud, willful misconduct, or gross negligence, or to any liability that cannot be limited under applicable law.
10. Indemnification
You agree to indemnify, defend, and hold harmless Vending Route Hub and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to:
- Your breach of these Terms or your service agreement
- Your violation of any law or the rights of a third party
- Any content or data you provide to us that infringes third-party rights
- Any claim by a third party arising from the machines or facility you asked us to service
11. Governing law
These Terms are governed by the laws of the State of Maryland, without regard to conflict of laws principles. Any legal action arising out of or related to these Terms or our services shall be brought exclusively in the state or federal courts located in Baltimore County, Maryland, and you consent to the personal jurisdiction of those courts.
Before filing any formal legal action, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days. If negotiation fails, the parties agree to attempt non-binding mediation before proceeding to litigation.
12. Changes to these terms
We may update these Terms from time to time. Material changes will be communicated to active clients by email at least 14 days before taking effect and will be reflected in the "Last updated" date at the top of this page. Your continued use of our services after changes take effect constitutes acceptance of the updated Terms.
